Pursuant to Clause 4 Article 10 of the Decree 26/2018/ND-CP on the Charter of Organization and Operation of Vietnam Electricity (EVN) stipulating the content of coordination and direction of EVN:
- Develop and implement the overall development strategy and joint business coordination plan of the EVN; provide strategic direction to subsidiary companies based on the development strategy and joint business coordination plan of EVN; establish and implement management regulations, operational guidelines, and uniform standards within EVN.
- Classify member companies according to their positions and importance in the overall development strategy of EVN; determine the sectoral portfolio, main business lines, and key member companies; provide direction to member companies based on their main business lines; manage and guide the representatives ensuring the control rights of EVN in key enterprises.
- Set the direction for medium- and long-term production and business plans of member units.
- Provide guidance on operational objectives, investment, production and business targets; allocate responsibilities, specialize, collaborate, access, expand and share markets, exports, use brands, information services, research and application of science and technology, training, and other activities of member companies in accordance with the general policies of EVN.
- Develop and implement brand management regulations for the Vietnam National Power Corporation; provide guidance on common elements in the names of subsidiary companies and affiliates.
- Provide guidance on organization and personnel for subsidiary companies.
- Provide guidance on the content of this Charter, control of charter capital structure of subsidiary companies.
- Appoint representatives to participate in the management and operation of subsidiary companies (second-tier enterprises), approve the appointment of representatives to participate in the management and operation of second-tier subsidiary companies wholly owned by EVN. Issue and implement regulations on appointment, replacement, supervision, and evaluation of representatives; determine the issues that must be approved by EVN before the representatives make decisions or participate in decision-making at subsidiary companies and affiliated companies.
- Coordinate the pooling of resources from member companies and affiliated companies to carry out bidding and implement joint projects agreed upon by subsidiary companies and affiliated companies, specifically:
Collaborate with Power Generation Corporations and National Power Transmission Corporation to implement investment and management of power generation projects, power transmission grids according to the approved national power development plan by the Prime Minister, as well as other investment projects; coordinate in power production, business, and participation in the competitive power market.
Collaborate with Power Distribution Corporations to develop smart distribution systems, power business, automation, control, and promote the development of competitive wholesale electricity market and competitive retail electricity market.
Collaborate with subsidiary companies that are consulting firms for power construction, electrical equipment manufacturing, construction, production, consultancy, and business of electrical products and works.
Organize the implementation of measures to ensure the security and safety of the national power system; manage the national power system, internal information system, and information technology system serving power production, business, and electricity market.
- Carry out and provide research, technology transfer, marketing, trade promotion, and other services for subsidiary companies and affiliated companies.
- Coordinate the establishment, management, and effective use of common funds; monitor finance and risk control; support financial activities (arrange capital, provide capital support, and other forms); provide guarantees and loans to member companies when requested by these companies and in accordance with the law.
- Coordinate the performance of administrative tasks and transactions with partners for member companies upon their request; fulfill public duties and tasks assigned by the State to the Vietnam National Power Corporation.
- Establish and connect the information network of all subsidiary companies and affiliated companies.
- Prepare the annual consolidated financial report of the Vietnam National Power Corporation.
- Consult subsidiary companies and affiliated companies in the implementation of joint activities.
- Organize the implementation of supervision, coordination, and cooperation among departments within EVN.
- Perform other activities in accordance with relevant laws, this Charter, and the Charters of subsidiary companies and affiliated companies.
